Citi wins China approval for wholly owned securities unit

Approval ends a nearly five-year wait and makes Citi the seventh foreign bank with a wholly owned brokerage in mainland China

Today: CSRC approves Citigroup Securities (China)

Overview

Updated 1 hour ago

China's securities regulator approved Citi's plan to set up a wholly owned securities firm in Shanghai, ending a nearly five-year wait that began in late 2021. The unit, Citigroup Securities (China), has registered capital of 1.2 billion yuan (about $180 million) and is the seventh wholly foreign-owned brokerage approved in mainland China.

The approval lets Citi offer onshore brokerage, underwriting, investment advisory and proprietary trading to domestic and foreign clients. It brings Citi back to China's securities business six years after it sold its stake in a joint venture with Orient Securities.

Why it matters

Citi can now underwrite and trade securities directly in China's $15.6 trillion stock market, competing with local brokers for high-end institutional clients.

Scenarios

1

Citi Securities (China) launches by April 2027

Likely Resolves by Apr 23, 2027

Discussed by: Reuters, Caixin

CSRC requires Citi to complete business registration within six months of the approval. If Citi meets that deadline, the unit can begin offering brokerage, underwriting and advisory services in Shanghai. Citi has been hiring for the business and aims to reach about 100 staff by the end of 2026.

2

Citi's China unit wins major underwriting mandates

Possible Resolves by Oct 23, 2027

Discussed by: Reuters, Chinese financial media

Citi has helped Chinese clients raise more than $40 billion in global capital markets this year. The new onshore unit could capture a share of domestic underwriting business, but it will compete with established local brokers and other foreign firms like Goldman Sachs and J.P. Morgan.

3

Regulatory delays push back Citi's China launch

Unlikely Resolves by Apr 23, 2027

Discussed by: Bloomberg Law

Citi must complete business registration within six months. If it misses that deadline, the approval could lapse or require re-application, delaying the launch. The bank's path to approval was already marked by regulatory friction in both Washington and Beijing.

Historical Context

2 moments from history that rhyme with this story — and how they unfolded.

2018-2026

Foreign banks go wholly owned in China (2018-2026)

Beijing removed foreign ownership caps on securities firms in 2018. Since then, J.P. Morgan, Goldman Sachs, Standard Chartered, BNP Paribas, Mizuho and UBS have all established wholly owned brokerages in China, converting from joint ventures or entering fresh.

Then

Foreign banks gained direct access to China's onshore securities market, competing with local brokers for underwriting and advisory business.

Now

Citi's approval makes it the seventh wholly foreign-owned brokerage, with Daiwa Securities expected to become the eighth.

Why this matters now

Citi's approval follows the same path as its US peers, reflecting a broader opening of China's financial sector to foreign ownership.

December 2019

Citi exits Orient Citigroup joint venture (2019)

Citi sold its 33.33% stake in Orient Citigroup Securities to Orient Securities in December 2019, exiting China's onshore securities business after eight years in the joint venture.

Then

Citi continued to serve Chinese clients through its offshore operations but had no direct onshore securities presence.

Now

The new approval reverses that exit, returning Citi to China's securities market as a wholly owned player.

Why this matters now

The 2019 exit and 2026 re-entry frame Citi's strategic shift from joint-venture partnership to full ownership in China.
