Huaxin board approves purchase of Brazil's CSN Cimentos

Huaxin board approves purchase of Brazil's CSN Cimentos

Money Moves

The Chinese cement maker would buy 99.99% of Brazil's second-largest producer for about $1.64 billion, if regulators in both countries clear the deal.

Overview

Updated 1 hour ago

Huaxin Building Materials Group's board approved the purchase of 99.99% of CSN Cimentos, the cement arm of Brazilian steelmaker CSN, the company said on November 8. The deal carries an agreed enterprise value of BRL 12.7 billion, or about $2.31 billion, and an initial equity price of BRL 9.03 billion, or about $1.64 billion.

The target is Brazil's second-largest cement producer, with 17 million tonnes of annual capacity and about 21% market share. The purchase would be the first entry by a Chinese cement company into Brazil and still needs approvals from Brazilian and Chinese regulators, with closing targeted for the first quarter of 2027.

Why it matters

If approved, a Chinese cement maker would control about a fifth of Brazil's cement capacity for the first time.

Scenarios

1

Deal closes in Q1 2027 after regulatory approvals

Likely Resolves by Q1 2027

Discussed by: Huaxin's November 8 filing says closing is expected in the first quarter of 2027.

Huaxin receives clearance from CADE, ANEEL, MOFCOM, NDRC and SAFE, then completes the all-cash purchase. CSN Cimentos becomes a consolidated subsidiary and Huaxin begins replacing high-interest debt.

2

Regulators impose remedies or closing slips past Q1 2027

Possible Resolves by Q2 2027

Discussed by: The filing lists CADE and ANEEL approvals as conditions but does not disclose remedy talks.

CADE or ANEEL raises competition or sector concerns, or one of the Chinese filings takes longer than expected. Huaxin and CSN accept conditions, extend the timetable or refile, pushing completion beyond the company's target.

3

Deal collapses after regulatory rejection or financing failure

Unlikely Resolves by Q2 2027

Discussed by: Huaxin's filing warns the acquisition may or may not proceed.

A required regulator rejects the transaction, or Huaxin cannot arrange the debt and equity financing on acceptable terms. The share purchase agreement is terminated and CSN Cimentos remains under CSN control.

Historical Context

2 moments from history that rhyme with this story — and how they unfolded.

2017

State Grid buys CPFL Energia (2017)

China's State Grid agreed to buy control of CPFL Energia, Brazil's largest private electricity distributor. The transaction went through Brazil's antitrust review before closing.

Then

State Grid gained a major Brazilian utility platform.

Now

Chinese state-owned firms became active buyers of Brazilian infrastructure assets.

Why this matters now

It shows a Chinese buyer can complete a large Brazilian regulated acquisition, but only after CADE review.

2015

Lafarge-Holcim merger (2015)

France's Lafarge and Switzerland's Holcim combined to create the world's largest cement company. Regulators required asset sales in several markets to preserve competition.

Then

The merged group became the global cement leader.

Now

Cement deals have since been judged against a consolidated global market.

Why this matters now

It shows cement mergers are routinely reviewed for market concentration, the same test CADE will apply here.
