Moody's lifts OYO parent Prism's outlook to positive ahead of IPO

All three major rating agencies now carry positive outlooks as the travel firm prepares a ₹6,650 crore listing to retire debt

Today: Moody's revises Prism's outlook to positive

Overview

Updated 1 hour ago

OYO's parent company, Prism, now has positive outlooks from all three major rating agencies. Moody's lifted its outlook on October 18, joining S&P and Fitch, after OYO's earnings before interest, taxes, depreciation and amortization (EBITDA) more than doubled to ₹2,630 crore in fiscal 2026.

Prism plans to raise ₹6,650 crore in an IPO expected before March 2027, using ₹4,987.5 crore to repay debt. A successful listing would retire most of its borrowings and mark one of India's largest consumer tech transactions in years.

Why it matters

A successful listing would repay ₹5,000 crore in debt, give SoftBank's stake a public float, and test India's appetite for travel-tech IPOs.

Scenarios

1

Prism lists in FY27, repays ₹4,987.5 crore in debt

Likely Resolves by Q1 2027

Discussed by: All three rating agencies cite IPO proceeds in their positive outlooks; Ritesh Agarwal has publicly guided a fiscal year 2026-27 launch

Prism launches its IPO before March 31, 2027, raising up to ₹6,650 crore. Proceeds prepay the Term Loan B. Fitch expects this to cut EBITDA net leverage below 1.0x, and Moody's says the offering would accelerate deleveraging and strengthen the credit profile.

2

IPO delayed past March 2027

Possible Resolves by Q1 2027

Discussed by: Moody's, whose base case does not factor IPO proceeds, citing uncertainty around timing and execution

Prism waits out weak market windows and pushes the listing to fiscal year 2027-28. Ratings hold, but the positive outlook could revert to stable if EBITDA growth stalls without the capital injection.

3

Pre-IPO placement shrinks the public issue

Possible Resolves by Q1 2027

Discussed by: Prism's UDRHP permits a pre-IPO placement of up to ₹1,330 crore that proportionally reduces the fresh issue

Prism completes a pre-IPO placement with anchor investors, reducing the public offering below ₹6,650 crore. The listing still happens, but raises less than planned and slows the deleveraging pace.

Historical Context

3 moments from history that rhyme with this story — and how they unfolded.

September 2021 - 2022

OYO's first IPO attempt (2021-2022)

OYO filed draft papers for a ₹8,430 crore IPO in September 2021, seeking a valuation near $12 billion. Public market conditions cooled, the company cut its valuation target and eventually shelved the listing.

Then

The filing lapsed without shares ever trading.

Now

OYO spent the next years restructuring, acquiring G6 Hospitality (Motel 6), rebuilding margins and expanding in Europe and the US before returning to the IPO market.

Why this matters now

This is Prism's second run at public markets. The earlier failure explains why rating agencies stress execution risk and why a successful listing would be a milestone.

July 2021

Zomato's IPO (July 2021)

Food delivery firm Zomato raised about ₹9,375 crore in one of India's largest consumer tech IPOs at the time, listing successfully at a premium.

Then

Shares rose on debut, opening a window for other Indian tech listings.

Now

Zomato became the benchmark for how India's public markets price consumer internet companies.

Why this matters now

Zomato shows the appetite India's markets have for consumer tech. It also frames how much the pricing environment has changed since.

November 2021

Paytm's IPO (November 2021)

Fintech firm Paytm raised roughly ₹18,300 crore in India's biggest IPO at the time, but shares fell sharply after listing amid valuation concerns.

Then

Paytm's stock dropped on debut and stayed under pressure.

Now

The listing became a cautionary tale, prompting tougher scrutiny of Indian tech valuations, especially for companies yet to show sustained profit.

Why this matters now

Paytm is the downside case investors weigh against Prism's improving margins. The agencies' positive outlooks are partly aimed at easing those concerns.
